Mergers & Acquisitions

TMA represents both Sellers (Sell-Side M&A) and Buyers (Buy-Side M&A) in a wide range of industries.

As veterans of large investment banking and private equity firms, our partners have over 85 years of combined experience and have executed over 500 transactions. We deliver global, sophisticated solutions to the middle-market.

Our partners are integrally involved in all aspects of every project from inception to closure. We dedicate at least two partners to every client engagement regardless of size. We understand that each family-owned or closely-held business has unique objectives and desired outcomes when considering strategic alternatives. Accordingly, we design an actionable strategy and customized process for each engagement.

Sell-Side M&A

TMA believes that the critical factor in any successful engagement is to clearly define our client’s goals and objectives.  Once our client’s goals are understood, TMA prepares confidential offering materials while recommending a group of potential buyers consistent with the client’s objectives.  We utilize both publicly available and proprietary databases to develop our customized buyer lists.  TMA leads our clients through every step of the sale process from strategic analysis, confidential marketing materials preparation, coordination of accounting and legal professionals, buyer identification and solicitation, evaluation and negotiation of offers, and ultimately, closing the transaction.

Buy-Side M&A

TMA initiates the buy-side process by understanding our client’s existing business and strategic goals in order to develop the key attributes for potential targets.  We leverage our global relationships, proprietary databases and unparalleled experience to identify specific potential targets.  Once identified, we qualify the target’s strategic fit, approach and initiate dialogue with key decision makers within the targets, and participate in all meetings or communications with the target.  After a target is under letter of intent, TMA assists in the coordination of due diligence, the negotiation of purchase agreements, closing of capital funding, and the ultimate closing of the transaction.

Strategic Counsel

TMA provides counsel to companies considering significant strategic initiatives.

We serve as a value-added, external resource to senior management teams, corporate boards and shareholders. Our experience and knowledge allow our clients to focus on their day-to-day operations while undergoing strategic transformation.

TMAC invests alongside business owners with whom TMA has long standing relationships and who add significant value, operational experience and industry knowledge.

TMA Capital (“TMAC”) invests in middle-market companies operating in select industries in which the principals of TMA have gained expertise throughout their careers.
